1. Acceptance of Terms

By accessing or using the CreditReel website and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

CreditReel ("we," "us," or "our") reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Description of Service

CreditReel is a platform that allows users to collect, manage, and display video and text testimonials. The Service is provided on a credit-based system where users purchase credits to utilize specific features.

2.1 Service Lifecycle and "Lifetime" Access

References to "Lifetime," "Forever," or "Unlimited" access refer to the lifetime of the Service (CreditReel), not the lifetime of the user. While we intend to offer this Service indefinitely, we reserve the right to discontinue the Service at any time. In the event of a Service discontinuation, we will provide a reasonable notice period (minimum 30 days) to allow users to export their data.

3. Accounts and Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Credits, Payments, and Refunds

4.1 Credit System

The Service operates on a credit system where 1 Credit is equivalent to $1 USD. Credits are purchased in packs and are added to your account balance. Credits do not expire as long as your account remains active.

4.2 Usage Fees

• Text Testimonials: Free to collect and display.
• Video Collection: 5 credits are deducted for each video testimonial uploaded.
• Video Streaming: 1 credit is deducted for every 500 minutes of video watch time.

4.3 Refund Policy

Video Deletion: If you delete a video testimonial from your dashboard, the 5-credit collection fee is automatically refunded to your account balance.

Credit Purchases: Purchases of credit packs are generally non-refundable. However, we may consider refund requests on a case-by-case basis if submitted within 7 days of purchase, provided that the credits have not been used.

5. User Conduct and Acceptable Use

You agree not to use the Service to collect, upload, post, or otherwise transmit any content that:

• Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy.
• Infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
• Contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any computer software or hardware.

We reserve the right to remove any content and suspend or terminate accounts that violate these Terms or are deemed objectionable in our sole discretion.

Termination for Cause: If your account is terminated due to a violation of these Terms (including but not limited to spam, illegal content, or abuse of the credit system), you forfeit all credits and access to stored content immediately. No refunds will be issued for accounts terminated for cause.

6. Intellectual Property

Your Content: You retain ownership of all content you submit to the Service ("User Content"). However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of providing and improving the Service.

Service Content: The Service and its original content, features, and functionality are and will remain the exclusive property of CreditReel and its licensors. The Service is protected by copyright, trademark, and other laws.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CREDITREEL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CREDITREEL DOES NOT GUARANTEE THAT DATA (INCLUDING VIDEO AND TEXT TESTIMONIALS) WILL BE PRESERVED WITHOUT LOSS. YOU ACKNOWLEDGE THAT CREDITREEL IS NOT A REPLACEMENT FOR YOUR OWN DATA BACKUP PROCEDURES.

8. Limitation of Liability

IN NO EVENT SHALL CREDITREEL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

9. Indemnification

You agree to defend, indemnify, and hold harmless CreditReel and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
